Terms of use

Last updated: 12 October 2026

These terms exist in English and in German (https://professionaltony.de/nutzungsbedingungen). Both versions have the same content and are binding. Section 15 says which version prevails if they differ: for a business based outside Germany, it is this English version.

1. Provider and contracting party

The provider of the professionaltony application and your contracting party is Professional Tony AB, organisation number 559524-2032, Tjällmoravägen 2, 134 61 Ingarö, Sweden, with the registered office of its board in the municipality of Värmdö, Stockholm County. You can reach us at contact@professionaltony.com. In these terms, Professional Tony AB is called "we" or "provider", and the business that uses the application is called "you" or "customer".

2. What these terms apply to

These terms of use apply to the use of the application at app.professionaltony.com, including the associated smartphone app, the customer links and all ancillary services. What exactly you get in your plan is shown in the plan overview in the application and at checkout when the contract is concluded; where these differ from the provisions here, they take precedence.

We contract with business customers only. A business customer is anyone who uses the application for their trade, business, craft or profession: a company, a self-employed person or any other body acting in a professional capacity. We do not contract with consumers, that is people acting for purposes outside such an activity. By registering, you confirm that you are acting as a business customer.

Your own purchasing or business terms do not become part of the contract, even if we do not expressly object to them. Where these terms say "in writing", an e-mail is enough.

3. How the contract is concluded

You register your business. The contract is concluded when we activate your access, starting with a free trial of 14 days. You give no payment details for the trial, and it does not turn into a paid subscription by itself. We may reject a registration without giving reasons.

You take out a paid subscription by choosing a plan and a billing period in the application and completing checkout. If you do this during the trial, billing usually starts only when the trial ends; checkout shows you the exact date.

If you do not take out a subscription by the end of the trial, the contract ends with the trial. We do not delete your data straight away; section 12 applies to it.

4. What we provide

We make the application available to you for use over the internet. You do not acquire any software and do not install anything on your own servers. The application and your data run on servers in the European Union; section 13 says where exactly, and the privacy policy gives the data protection details.

We develop the application continuously. Improvements, new functions and adaptations to changed legal requirements are part of the service and cost nothing extra in the current plan. We may change or replace individual functions as long as the core of the agreed scope of service is preserved. If a function is to be dropped entirely, we announce this in advance in writing.

The application supports you in your commercial and legal obligations, but it does not take these obligations over. We do not owe any tax, legal or business advice. What the application reads from a document, what the assistant answers and what the application suggests to you is a suggestion with its source stated, which you check and confirm before sending.

The assistant is an AI system. It is switched off by default, and you decide whether your business uses it. If you switch it on, a language model of Mistral AI SAS (France) answers your questions through its interface in the EU. The same model helps read old documents when you take them over from earlier software and our own servers cannot read them. No model is trained with your data.

5. Your right of use

For the term of the contract you receive the simple, non-exclusive, non-transferable right to use the application for your business's own purposes, within the agreed number of user accounts. A user account is tied to one person and may not be shared by several people.

You may not make the application available to third parties for their own use, rent it out or offer it as your own service. Nor may you reverse engineer the application, except where the law mandatorily permits this, circumvent its security functions, query it in an excessively automated way or extract data on a large scale other than through the interfaces and exports provided for that purpose. You may set up your tax adviser, your auditor and your subcontractors as users within your own business processes, provided you take responsibility for their conduct.

6. Your data remains your data

All data that you and your employees enter into the application or create there remains your data. We acquire no rights in it other than the right of use we need to perform the contract, that is to store, process, back up and display the data to you. We do not use your business data for our own purposes, we do not sell it, we pass it only to the sub-processors named in the data processing agreement and only as far as the service needs it, and we do not train AI models with it.

Where the application processes personal data, for example data of your employees and your clients, you are the controller for it and we are your processor under Art. 28 GDPR. The details are set out in the separate data processing agreement (DPA) that we conclude with you. Where it provides otherwise, it takes precedence over these terms of use. How we handle personal data is also described in the privacy policy.

7. Your obligations

So that the application can produce correct documents and correct records, we need a few things from you:

8. Availability, maintenance and support

We operate the application competently and with the care you can expect from a professional provider, and endeavour to keep it running continuously. We do not commit to any particular availability percentage. Periods in which the application cannot be reached because of maintenance, because of a disruption outside our sphere of influence or because of force majeure are not a breach of contract.

Where possible, we schedule maintenance work that noticeably interrupts operation outside normal working hours and announce it in advance in the application or by e-mail. We may carry out security-related interventions immediately.

Report disruptions to us by e-mail to contact@professionaltony.com or through the feedback function in the application. Support is included in every plan; its extent is shown in the plan overview.

9. Prices and payment

The prices shown in the plan overview in the application and at checkout when the contract is concluded apply. All prices are net, plus VAT where it is due. The fee is payable in advance for the billing period you chose, one month or one year.

Payment is handled by our payment service provider Stripe. Checkout shows the payment methods open to you: in euros, card and SEPA Direct Debit; in other currencies, card. You receive your invoices electronically. In the event of late payment, the statutory rules of Swedish law apply.

We notify you of a price change in advance in writing. It takes effect at the earliest at the start of the next billing period. You can terminate the contract as of that date, up until the change takes effect; if you do not terminate, the new price applies. We expressly point out this right to you in the notification.

10. Term and termination

Your subscription runs monthly or yearly, depending on what you chose, and renews for the same period each time until it is cancelled. You can cancel at any time, in the subscription settings of the application or in writing. Cancellation takes effect at the end of the current billing period; until then you use the application as usual. Section 13 also applies to a switch to another provider.

You can also end a yearly subscription early at any time, in the subscription settings of the application or in writing. The early end takes effect at the end of the month in which you declare it; months are counted from the day on which your contract year began. The same applies if a yearly subscription ends before the paid year is over because of a switch under section 13. We then bill the contract year as if you had chosen the monthly plan: for each month that has begun, we charge the monthly price that applied to your plan at the start of the contract year. We refund the rest of the yearly fee you paid within 14 days of the end of the contract, together with the VAT on it, and issue a credit note for that amount. The refund goes to the payment method you paid with; where that is not possible, we pay it by bank transfer. If nothing is left, there is no refund; we never ask for an additional payment. This settlement only takes back the price advantage you received for committing to a full year. We charge no other costs or penalties for ending early.

We may also cancel the subscription, at the earliest as of the end of the billing period you have paid for, and with reasonable notice that we give you in writing.

Either party may also terminate the contract with immediate effect if the other party materially breaches its obligations and does not remedy the breach within a reasonable period after a written request to do so. A material breach exists in particular if you are in arrears with a substantial amount, or if you seriously breach section 5 or section 7.

11. Blocking of access

We may block your access if you do not pay after a reminder and a deadline, if there is a serious breach of these terms, or if it is necessary to avert a danger to operation or to the data of other customers. We announce the block in advance where this is possible in the circumstances.

While access is blocked, signing in is not possible; the owner role keeps access to billing and to the export. Nothing changes in your data: nothing is deleted, the unalterable archiving of incoming documents continues, and once the reason no longer applies we restore access. If you are responsible for the block, the fee for that period remains payable.

12. What happens to your data when the contract ends

When the contract ends, we switch your tenant to close-down mode. Normal sign-in is then no longer possible; the owner role keeps access to the export function so that you can retrieve your data.

Export

You receive your data as a complete archive. It contains:

You can also create this export at any time during the term of the contract. It is the same function, only before the end, and it costs nothing.

Deletion

You confirm receipt of the export to us in writing. If you want no export, only deletion, you instead confirm in writing that you waive the export. After this confirmation and after the hold period set out in the DPA has expired, which is at least 30 days, we delete your tenant permanently and physically, that is the records, the audit log, the user accounts and the original files. If legal proceedings or an official measure are pending for which we have to retain the data, we suspend deletion until they are concluded.

After deletion, a deletion record remains that contains no business data: name of the business, time, checksum of the export, reference to your confirmation and the number of deleted records per table. We need this record in order to be able to prove the deletion.

The data is gone from the live systems immediately. In the backups it disappears only when the respective backup expires in the regular rotation. We do not restore a deleted tenant from a backup unless we are legally obliged to. The periods for this are set out in the DPA.

After deletion, we no longer have your data. Keep the export archive for as long as your statutory retention periods require.

13. Switching to another provider

You can switch to another provider or move your data to your own systems at any time. This section sets out how that works. It implements Chapter VI of the EU Data Act (Regulation (EU) 2023/2854) and also applies during the trial.

Your notice and the notice period

You tell us in writing what you intend to do: switch to another provider, in which case you give us the details about that provider that the switch needs, move your data to your own systems, or only have your data deleted. The switch starts at the end of the cancellation period under section 10, but no later than two months after your notice.

The transition period

We then carry out the switch without undue delay, within 30 days at the latest. During this time the contract continues and you use the application as usual. We give you and the third parties you engage for the switch reasonable assistance, keep the service running, tell you about known risks to its continuity, and protect your data at a high level of security during the transfer and afterwards. When you plan your exit, we give you all the information you need for it.

You can extend the transition period once, to a length you consider appropriate for your purposes. If the switch is technically not possible within 30 days, we tell you so with reasons within 14 working days of your notice and give you another transition period of no more than seven months; the service keeps running during it.

What data you take with you

You can take all data that you enter or create while using the application, including its metadata. That is the complete export described in section 12. You receive the records in JSON Lines format, one file per table, and the original files in their original format. The following, and only the following, is not included in the export:

Costs

We charge no switching charges for the switch, the export or the deletion. The fee for your plan remains payable until the contract ends; a month that has begun remains paid. If a yearly subscription ends through a switch before the paid year is over, we bill it under section 10 and refund the rest of the yearly fee to you. If you want help beyond this section, such as converting your data into the format of a particular other program, we agree it and its price separately in advance.

End of contract, retrieval and deletion

The contract ends as soon as the switch has been completed successfully. If you only want deletion, it ends at the end of the notice period in the first paragraph. We confirm the end to you in writing. After that you can still retrieve your data for at least 30 days; we then delete all exportable data completely, as described in section 12.

Where your data is

The application runs on servers of Hetzner Online GmbH (Germany) in Helsinki, Finland; the backups are kept by the same provider in Germany. This infrastructure is subject to the law of the European Union, Finland and Germany. Which other service providers take part in individual functions, such as sending e-mail, and where they process data, is set out in the DPA. If an authority outside the EU demands access to your data, we hand it over only where the law of the EU or of Sweden allows it, and we tell you beforehand where we are permitted to.

14. Liability

We are liable without limitation for damage we cause intentionally or by gross negligence, for injury to life, body or health, to the extent of any guarantee we have expressly given, and where mandatory law imposes liability, such as product liability law.

Otherwise we are liable only for direct loss that you suffer through a breach of contract for which we are responsible and that was foreseeable when the contract was concluded. We are not liable for indirect or consequential loss, in particular not for loss of profit, loss of revenue, loss of production or business interruption, or claims of third parties against you.

We back up the data regularly. For loss of data, we are liable only up to the amount of the effort that would have been required to restore it if the data had been backed up properly.

We are not liable for the content of the documents that you create and send with the application, or for the correctness and completeness of your own entries. This also applies to suggestions that the application generates, for example when reading a document or in the assistant: they are intended to be checked and do not replace your decision.

We are not liable for delays or failures caused by circumstances beyond our reasonable control, such as disruptions of the internet or of the power supply, measures by authorities, war or natural events.

You must notify us of a defect or damage in writing within a reasonable time after you noticed it or ought to have noticed it. These liability rules also apply to our legal representatives, our employees and the persons we use to perform the contract.

15. Governing law, courts and language

This contract and all claims arising out of or in connection with it are governed by Swedish law. The conflict-of-laws rules of Swedish private international law and the UN Convention on Contracts for the International Sale of Goods (CISG) are excluded.

The Swedish courts have exclusive jurisdiction over all disputes arising out of or in connection with this contract, with Stockholms tingsrätt (Stockholm District Court) as the court of first instance. This applies to claims brought by either party. Either party may also apply for interim measures to the court that has jurisdiction for them by law.

These terms exist in German and in English. Both versions have the same content and are binding. Your contract language is German if your business is based in Germany, and English otherwise. If the versions differ, the version in your contract language prevails. You can send us notices about the contract in German or in English.

16. Final provisions

We may change these terms of use if the legal situation, case law or the scope of service changes. We notify you of the change in writing before it takes effect. If you do not object before it takes effect, the changed terms apply; we expressly point out this right and the consequences of silence in the notification. If you object, either party may terminate the contract as of the date the change takes effect.

We may use subcontractors. For the processing of personal data, the DPA applies, which names the sub-processors used.

You may transfer rights under this contract only with our consent. You may set off only claims that are undisputed or have been finally determined by a court.

If a provision of these terms is invalid, the remaining provisions remain valid. The invalid provision is replaced by what comes closest to its purpose in economic terms.

This offer is aimed at businesses (B2B). See also the imprint and the privacy policy.
